Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 27, 2021, Morana Jovan-Embiricos notified the Board of Directors of Cullinan Oncology, Inc. (the “Company”) of her intention to resign as a director effective as of December 31, 2021 to dedicate more time to her role as Managing Partner of F2 Ventures Ltd. and its pre-public portfolio companies. Ms. Jovan-Embiricos’s decision to resign was not the result of any disagreement with the Company on any matter relating to our operations, policies or practices.
